These Terms & Conditions ("Terms") govern your use of the Verteframe LLC website, services, and any agreements you enter into with us. By accessing our website, purchasing our services, or otherwise engaging with Verteframe, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. About Verteframe

Verteframe LLC ("Verteframe," "we," "us," or "our") is a Delaware limited liability company that provides done-for-you digital infrastructure services, including funnel and website builds, automation setup, CRM configuration, email deliverability, integrations, and related digital services.

2. Acceptance of Terms

By purchasing a service, submitting a deposit, or signing a statement of work with Verteframe, you acknowledge that you have read, understood, and agreed to these Terms. These Terms may be updated from time to time, and continued use of our services constitutes acceptance of any revised Terms.

3. Our Services

Verteframe offers digital infrastructure build services, including but not limited to:

  • Sales funnel design and implementation
  • Website design and development
  • Email marketing automation setup
  • Customer relationship management (CRM) and pipeline configuration
  • Domain, DNS, and email deliverability setup
  • Tracking pixel and analytics installation
  • Payment processor and third-party platform integrations
  • Platform hosting and ongoing maintenance (where applicable)

The specific scope of services for any engagement will be outlined during the kickoff process and documented in a statement of work or intake form.

4. Payment Terms

Fees and Deposits

Our service fees are listed on our website or quoted directly. Unless otherwise agreed in writing, all engagements require a non-refundable deposit to secure your project slot, with the remaining balance due upon project handoff or as specified in your statement of work.

Split Payments and Automatic Final Charge

Certain services are offered with a split payment structure, in which an initial deposit is collected at the time of purchase and the remaining balance is automatically charged to the same payment method upon project handoff. By authorizing the initial deposit, you expressly consent to Verteframe (or its payment processor) charging the remaining balance to your saved payment method at the time of handoff, without requiring additional authorization. You will receive a receipt for the final charge via email. If you wish to use a different payment method for the final charge, you must notify us in writing at least 48 hours before handoff.

Payment Methods

Payments are processed securely through third-party payment processors such as Stripe. You agree to provide accurate payment information and authorize us to charge the payment method you provide for the agreed-upon fees.

Late Payments

Final payments not received by the due date may result in delayed handoff, suspended access to deliverables, or termination of the engagement. Verteframe reserves the right to withhold delivery of final assets until all outstanding balances are paid in full.

Recurring Charges

If your service includes ongoing platform hosting, maintenance, or subscription-based features, you authorize Verteframe (or its payment processor) to charge your payment method on a recurring basis until you cancel. You may cancel recurring services at any time by contacting us directly.

5. Refund Policy

Because our services involve significant time investment, strategic planning, and custom work, our refund policy is structured around project milestones:

Before Kickoff Call

If you choose to cancel before your kickoff call has taken place, you will receive a refund of your deposit, less a $250 administrative fee to cover intake processing and project setup time.

After Kickoff Call, Before Build Begins

If you cancel after the kickoff call but before active build work has begun, you will receive a refund of 50% of your deposit. The remaining 50% covers strategy time, scope planning, and committed calendar capacity.

After Build Has Started

Once build work has begun, all payments are non-refundable. You will be provided with whatever work has been completed to date, and we will make reasonable efforts to conclude the engagement cleanly.

After Handoff

Once your project has been handed off, all sales are final. We do not offer refunds on completed work. However, the included 30-day post-handoff support window covers reasonable fixes and adjustments to ensure the delivered system works as intended.

Chargebacks

You agree not to initiate a chargeback or payment dispute for any charges you have authorized. Initiating a chargeback without first attempting to resolve the issue with us directly will be considered a breach of these Terms.

6. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate and timely information, content, assets, and access credentials
  • Respond promptly to requests for feedback, approvals, or additional information
  • Complete any required intake forms, questionnaires, or onboarding steps
  • Cooperate in good faith throughout the engagement
  • Own or have proper rights to all content, branding, and materials you provide

Delays caused by untimely responses or incomplete information may extend the project timeline and are not the responsibility of Verteframe.

7. Project Timelines

We make reasonable efforts to meet the timelines discussed during kickoff. However, delivery timelines are estimates, not guarantees, and may be affected by client responsiveness, scope changes, third-party platform issues, or other factors outside our control. We will communicate proactively if any delays occur.

8. Scope of Work and Changes

The scope of your engagement will be defined during the kickoff process. Work beyond the agreed-upon scope ("scope creep") may be subject to additional fees, which will be quoted and approved before additional work begins. Verteframe reserves the right to decline out-of-scope requests or charge for additional work at our standard rates.

9. Intellectual Property

Client Materials

You retain all ownership rights to the content, branding, and materials you provide to us ("Client Materials"). You grant Verteframe a license to use Client Materials solely for the purpose of completing your project.

Deliverables

Upon full payment, you will own the final deliverables built specifically for your business, including funnel pages, website pages, automations, and copy written for you. However, Verteframe retains ownership of any proprietary frameworks, templates, tools, code libraries, methodologies, or processes used in creating those deliverables.

Platform-Hosted Assets

If your deliverables are hosted on a Verteframe-managed platform, your continued access to those assets is contingent on your active hosting subscription. You may migrate your content and assets to your own platform at any time, though migration assistance may incur additional fees.

Portfolio Rights

Unless otherwise agreed in writing, Verteframe reserves the right to display completed work in our portfolio, case studies, and marketing materials, including mentioning your business name and showcasing screenshots of public-facing deliverables.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, financial information, customer data, login credentials, and any other non-public information. This obligation survives the termination of our engagement.

11. Third-Party Services

Our services often involve the use of third-party platforms, tools, and services (such as payment processors, email service providers, CRM platforms, and hosting providers). Verteframe is not responsible for the performance, availability, pricing changes, or policies of any third-party services. Any fees charged by third-party providers are separate from and in addition to our service fees.

12. Disclaimers

No Guarantee of Results

Verteframe provides digital infrastructure and systems. We do not guarantee any specific business outcomes, revenue, conversions, leads, sales, or results from the use of our services. Your business results depend on many factors outside our control, including your offer, audience, marketing, and execution.

Services Provided "As Is"

Our services and deliverables are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Verteframe disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, Verteframe LLC, its members, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of our services, including but not limited to lost profits, lost revenue, lost data, or business interruption.

In no event shall Verteframe's total liability to you exceed the total amount you paid to us for the specific service giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Verteframe LLC, its members, employees, and contractors from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your use of our services, your Client Materials, or your violation of any third-party rights.

15. Termination

Either party may terminate an engagement at any time with written notice. Upon termination, you remain responsible for payment for all work completed up to the termination date, subject to the refund policy outlined in Section 5. Verteframe reserves the right to terminate an engagement immediately if you breach these Terms, fail to make required payments, or behave in a manner we reasonably deem abusive, unethical, or harmful.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or our services shall be resolved through good-faith negotiation first. If a resolution cannot be reached, disputes shall be resolved through binding arbitration or in the state or federal courts located in Delaware, at Verteframe's discretion.

17. Force Majeure

Verteframe shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to natural disasters, acts of war, terrorism, labor disputes, government actions, pandemics, internet or utility outages, or failures of third-party services.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

19. Entire Agreement

These Terms, together with any statement of work, intake form, or other written agreement between you and Verteframe, constitute the entire agreement between the parties and supersede any prior agreements or understandings, whether written or oral.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this section. Continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
